Startup capital · acquisitions · transitions · exits

Capital readiness for the first raise and the next owner.

VeraLux helps founders and operators make ventures fundable, financeable, and transferable - from fresh startout companies to established businesses approaching an acquisition, succession, or exit.

The purpose

We prepare businesses for the capital conversation that matters.

Some companies need their first serious investor. Others need a lender, a buyer, a successor, or a clean exit path. VeraLux turns the business, the numbers, and the story into an investable case.

Fundability is not a pitch deck. It is evidence, structure, discipline, and a believable path to value.

01

Fresh startout ventures

03

Acquisitions and exits

For owners, buyers, and successors navigating valuation, diligence, financing, post-close transition, or exit readiness.

Why now

Three forces, one capital moment.

A founder shift

More owners need a next step.

Founders are approaching transition, retirement, acquisition, and succession decisions with businesses that still have value to preserve.

A funding shift

Capital is asking harder questions.

Lenders and investors want cleaner numbers, sharper execution plans, and a credible path to repayment, growth, or exit.

A technology shift

Small teams can build bigger systems.

Modern software, AI-enabled workflows, and payments infrastructure make fundable operating discipline more accessible than before.

readiness x disciplined capital x transaction execution x operating improvement

VeraLux Fundable Test

See if the business is ready for capital.

A short readiness screen for founders, owners, and operators preparing for a raise, acquisition, transition, or exit.

Start the fundable test
The firm

Capital clarity for fundable businesses.

VeraLux Capital works with founders, owners, buyers, and operators at moments when the business must become more legible to capital - a first raise, a growth plan, an acquisition, a transition, or an exit.

We sit between the story and the spreadsheet - turning ambition into a case lenders, investors, buyers, and successors can understand.

What we believe

Good businesses deserve more than a beautiful pitch.

The venture has to make sense. The acquisition has to underwrite. The transition has to protect value. VeraLux brings the financial, operating, and transaction discipline required to make those moments real.

01

Evidence before adjectives

We ground the case in market proof, operating data, unit economics, cash flow, and transaction logic.

02

Capital follows structure

We build the model, memo, materials, and process so the raise or transaction has a credible spine.

03

Execution stays attached

We do not stop at advice. We support the financing, diligence, buyer conversations, and operating work that follows.

The VeraLux difference

We connect venture-building discipline with transaction discipline.

Startups, growing companies, and acquisition targets often fail the same test: the capital case is not yet clear. VeraLux helps make the business legible, underwritable, and ready for the next serious conversation.

People

Experienced capital leadership.

VeraLux is led by operators and finance leaders who understand how businesses are underwritten, financed, acquired, and carried into their next stage.

VeraLux Fundable Test

Is the business ready for serious capital?

A practical screen for ventures, acquisitions, transitions, and exits. The test does not replace diligence; it tells us where the funding case is already strong and where it needs work.

The five checks.

  • 1Clear demand. Customers, contracts, referrals, usage, pipeline, or other evidence that the market wants what the business sells.
  • 2Believable economics. Revenue, margins, repayment capacity, unit economics, or transaction value that can survive lender or investor scrutiny.
  • 3Use of capital. A specific reason for the money and a plan for what changes once it arrives.
  • 4Operator readiness. Leadership, reporting, controls, and execution cadence strong enough to carry the next stage.
  • 5Path to outcome. A credible route to growth, acquisition, transition, repayment, or exit.
How to use it

Bring the messy version.

Send the company stage, capital need, target amount if known, current revenue or traction, ownership goal, and what is blocking the next move. VeraLux will use the test to decide whether the business is ready to raise, needs readiness work first, or is better suited for an acquisition or transition path.
